Agreement to Terms

By downloading, installing, or using BlackBook ("the App"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the App.

BlackBook is owned and operated by Earnestly Studios LLC ("we," "us," or "our"). These Terms govern your use of the App and any related services.

Description of Service

BlackBook is a personal relationship assistant application that helps you:

• Organize and manage your personal and professional contacts
• Track interactions and maintain relationship history
• Set reminders for follow-ups and important dates
• Create and share digital business cards
• Group and categorize your contacts
• Log notes and memories about your relationships

Account Registration

To use BlackBook, you must:

• Sign in using Sign in with Apple
• Be at least 13 years of age
• Provide accurate information
• Maintain the security of your Apple ID

You are responsible for all activity that occurs under your account.

Subscriptions & Payments

Free Tier

BlackBook offers a free tier with limited features, including:

• Up to 25 contacts
• 2 notes per contact
• 30 days of interaction history
• Basic reminders

BlackBook Pro

BlackBook Pro is offered as an auto-renewable subscription with two plans:

• Pro (monthly): $4.99 USD per month, billed every month
• BlackBook Pro Annual: $29.99 USD per year, billed every year; includes a 1-week free trial for eligible new subscribers

Prices shown are for the United States. Prices in other regions may vary and are always shown in the App Store before you confirm a purchase. Both plans unlock:

• Unlimited contacts and contact imports (free plan: up to 25 contacts)
• Unlimited notes per contact (free plan: 2 per contact)
• Full interaction history (free plan: last 30 days)
• Anniversary and recurring reminders
• Smart reconnect reminders for your most important contacts
• Unlimited custom groups (free plan: up to 3)
• Payment links on your personal card
• Full Insights, including connection summary, relationship health action plan and neglect alerts
• Relationship notes with tags
• Find and merge duplicate contacts
• BlackBook AI: quick capture and transcript analysis, meeting briefs and follow-up drafts (requires a device that supports Apple Intelligence)

Payment Terms

• Subscriptions are billed through Apple's App Store, monthly for the monthly plan and yearly for the annual plan
• Payment is charged to your Apple ID account at confirmation of purchase, or when the free trial ends if you started one
• Subscriptions automatically renew for the same period at the then-current price unless canceled at least 24 hours before the end of the current period
• Your account is charged for renewal within 24 hours before the end of the current period
• You can manage and cancel subscriptions in Settings > [your name] > Subscriptions on your device (Settings > Apple ID > Subscriptions)
• Subscriptions are not shared through Family Sharing
• No refunds for partial subscription periods

Free Trial: The annual plan includes a 1-week free trial for eligible new subscribers. It converts to a paid annual subscription unless canceled at least 24 hours before the trial ends. Any unused portion of a free trial is forfeited when you purchase a subscription.

Acceptable Use

You agree NOT to use BlackBook to:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Store or transmit malicious code
• Harass, abuse, or harm others
• Send spam or unsolicited communications
• Attempt to gain unauthorized access to our systems
• Reverse engineer or decompile the App
• Use the App for any commercial purpose without our consent

Violation of these terms may result in immediate termination of your account without refund.

Your Content & Data

You retain ownership of all content you create or upload to BlackBook, including contacts, notes, and profile information. By using the App, you grant us a limited license to store and process your content solely to provide the service to you on your device and through iCloud sync.

You are responsible for:

• The accuracy of information you enter
• Obtaining appropriate consent before storing others' personal information
• Backing up your data (we recommend enabling iCloud sync)
• Complying with applicable privacy laws regarding the data you store

Intellectual Property

BlackBook, including its design, features, code, and branding, is owned by Earnestly Studios LLC and protected by intellectual property laws. You may not:

• Copy, modify, or distribute the App
• Use our trademarks without permission
• Create derivative works based on the App
• Remove any copyright or proprietary notices

Third-Party Services

BlackBook integrates with the following third-party services:

• Apple: Sign in with Apple, iCloud (CloudKit), App Store, StoreKit

Your use of these services is subject to Apple's terms and privacy policies. We encourage you to review Apple's Privacy Policy and Terms of Service.

Disclaimers

• The App will be uninterrupted or error-free
• The App will meet your specific requirements
• Data will never be lost (always maintain backups)
• The App will be compatible with all devices
• iCloud sync will always be available (this depends on Apple's services)

Limitation of Liability

• Indirect, incidental, special, or consequential damages
• Loss of data, profits, or business opportunities
• Damages exceeding the amount you paid for the App in the past 12 months
• Any issues arising from third-party services (including Apple's iCloud)

Indemnification

You agree to indemnify and hold harmless Earnestly Studios LLC from any claims, damages, or expenses arising from your use of the App, violation of these Terms, or infringement of any third-party rights.

Termination

We may suspend or terminate your access to BlackBook at any time for violation of these Terms. You may delete your account at any time through the App settings. Upon termination:

• Your right to use the App ceases immediately
• Local data on your device may be deleted when you uninstall the App
• iCloud data is managed according to Apple's data retention policies
• Provisions that should survive termination will remain in effect

Changes to Terms

We may modify these Terms at any time. We will notify you of material changes through the App or via email. Continued use of BlackBook after changes take effect constitutes acceptance of the new Terms.

Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Texas.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Earnestly Studios LLC regarding BlackBook.
